UNION PROPOSAL: Article
39: Successorship
The Employer shall agree to engage in no business transaction that changes the identity of the employing enterprise, including sale to another entity or merger with another entity, unless the successor entity agrees in advance to be bound by the collective bargaining agreement. The Employer shall agree that in the event of the Union filing a grievance claiming violation of this provision, the sale, merger or other transaction will not be finalized until the grievance is either settled or proceeds to arbitration; further, that the grievance should be submitted to arbitration in an expedited manner in accordance with an expedited schedule. Finally, the Employer shall agree that violation by it of this provision injures the union and its members irreparably, and that it would be appropriate for a court to issue an injunction against the sale, merge or other transaction that is alleged to violate this provision pending arbitration of the union’s grievance, so as to preserve the arbitrator’s jurisdiction over the grievance.
